Master Commercial Software Agreement

These Terms of Service ("Agreement") constitute a legally binding agreement between you or the corporate entity you represent ("Subscriber", "Organization", or "User") and BevDirector ("BevDirector", "Company", "we", "us", or "our"), governing all access to and commercial utilization of the BevDirector Enterprise Suite, associated Progressive Web Applications (PWA), native mobile shells, local-first offline storage engines, and real-time cloud data synchronization services available via https://bevdirector.com.

1. Enterprise License Grant & Commercial Scope

Subject to the terms and conditions herein, BevDirector grants the Subscriber a non-exclusive, non-transferable, revocable commercial software license to deploy BevDirector Enterprise Suite across authorized physical venue locations, bar workstations, inventory depots, and back-office management terminals. This license permits:

• Comprehensive physical beverage inventory valuation, open bottle spirit calculations, and multi-station speed-rail auditing;
• Cocktail recipe cost engineering, pour cost percentage optimization, automated batch scaling, and menu profit-and-loss modeling;
• Distributor master price book maintenance, purchasing creep auditing, automated par replenishment, and purchase order PDF generation;
• Distributor delivery invoice OCR line-item processing via integrated AI vision tools.

2. Local-First Architecture & Dual Cloud Storage Synchronization

BevDirector is architected specifically for extreme subterranean and shielded hospitality environments (including concrete underground wine cellars, reinforced walk-in coolers, and remote outdoor festival bars):

• Local Storage Resilience: All operational inventories, physical bottle counts, tare deductions, recipe adjustments, and price changes execute immediately in local client-side memory and persist through device-level IndexedDB and LocalStorage layers.
• Cloud Replication: Upon establishing an authenticated network connection, local transaction journals synchronize securely with enterprise Firebase Realtime Database and multi-tenant SQL clusters over encrypted TLS 1.3 channels.
• Data Integrity & Audit Trails: While offline operational autonomy is maintained, the Subscriber is responsible for periodically synchronizing devices to ensure enterprise multi-user count consolidations reflect accurate real-time venue valuations.

3. Proprietary Recipe Intellectual Property & Trade Secret Protection

The Subscriber retains 100% exclusive, worldwide, perpetual proprietary ownership of all proprietary cocktail specifications, culinary infusions, syrup formulations, vendor wholesale pricing agreements, pour cost margins, and historical inventory records.

BevDirector does not claim, nor shall it ever acquire, any ownership rights or intellectual property title in the Subscriber's unique menu formulations, recipes, or confidential supplier contracts. BevDirector shall not commercialize, sell, or disclose your confidential recipe IP to any third party.

4. 3D Fluid Physics, Volume Estimation & Inventory Audit Integrity

BevDirector's interactive 3D bottle calculator provides millimeter dynamic fluid simulation, meniscus tracking, and gyro-assisted slosh modeling to accelerate open bottle inventory counting:

• Visual spirit estimations (tenths and fluid fractions) are designed to minimize floor counting friction while maintaining institutional operational precision;
• For statutory state/provincial liquor tax audits, forensic variance investigations, or formal accounting period closures, physical weight measurements utilizing certified tare deductions remain the definitive legal standard;
• The Subscriber assumes ultimate managerial responsibility for auditing final count submissions prior to executing permanent period closures or tax filings.

5. Distributor Invoices, AI Vision OCR & Purchasing Creep Audits

BevDirector includes Gemini AI Vision invoice scanning to streamline manual receiving:

• Automated OCR line-item extraction is an administrative productivity utility;
• Receiving personnel and beverage managers must visually verify scanned SKU codes, case quantities, and invoiced unit costs prior to committing receiving ledger entries;
• BevDirector is not liable for vendor billing discrepancies, distributor overcharges, or delivery shortages incurred from unverified supplier deliveries.

6. Account Credentials & Manager Security Access

Subscribers are solely responsible for securing authorized user credentials, OAuth tokens, and venue Manager Override PINs. Any administrative operational modifications, count restorations, tenant switches, or database clears conducted under valid credentials are the exclusive responsibility of the Subscriber organization.

7. Warranty Disclaimers & Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEVDIRECTOR ENTERPRISE SUITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BEVDIRECTOR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR HOSPITALITY PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL BEVDIRECTOR, ITS OFFICERS, DIRECTORS, OR DEVELOPERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, PRODUCT SPOILAGE, LIQUOR SHRINKAGE/VARIANCE LOSSES, OR REGULATORY PENALTIES ARISING FROM THE USE OF OR INABILITY TO USE THE APPLICATION.

8. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved through confidential binding arbitration conducted in accordance with commercial arbitration standards.
